2. Regulations on capital transfer under the 2020 Enterprise Law
- The transfer of capital contribution applies to limited liability companies with two or more members as stipulated in Article 52 of the 2020 Enterprise Law.
- The transfer of capital contribution shall not apply in the following cases:
+ The company has been requested to repurchase but unable to pay for the repurchased capital contribution.
+ Gift the capital contribution to another person.
+ Utilize the capital contribution to repay debts.
- Recipients of the transfer: Remaining members of the company or non-members of the company (if after 30 days from the date of offering for sale, the company members do not buy or buy insufficiently).
- Rights and obligations of the transferor regarding the company shall terminate when the buyer's information is fully recorded in the membership register.
